Terms of Service

Please review these Terms of Service carefully before using our website, submitting a booking request, or reserving a vehicle or chauffeur service.

PRESTIGE BLACK RENTALS - TERMS OF SERVICE

These Terms of Service ("Terms") are a binding agreement between you and
Prestige Black Rentals and its affiliates ("Prestige Black," "we," "us," or
"our"). They govern your use of our website, mobile apps, and client portal,
and our three service lines: (1) self-drive exotic and luxury vehicle rentals,
(2) chauffeur and black-car transportation, and (3) luxury event services. By
accessing or using our website or apps, submitting a reservation or quote
request, or booking any service, you agree to these Terms, our Privacy Policy,
and our Cancellation & Refund Policy, each incorporated by reference. If you do
not agree, do not use our services.

The specific booking you take is also governed by the separate Rental or
Chauffeur Agreement you sign at pickup or before the trip; if that signed
agreement conflicts with these Terms for that booking, the signed agreement
controls for the matters it covers.

PLEASE READ SECTION 29 (DISPUTE RESOLUTION) CAREFULLY. IT REQUIRES INDIVIDUAL
ARBITRATION OF MOST DISPUTES AND WAIVES CLASS ACTIONS AND JURY TRIALS. YOU MAY
OPT OUT OF THE ARBITRATION AND CLASS-ACTION TERMS WITHIN 30 DAYS AS DESCRIBED
IN SECTION 29.8. CERTAIN CLAIMS ARE EXCLUDED FROM ARBITRATION UNDER SECTION
29.6.


1. ELIGIBILITY TO RENT (SELF-DRIVE)

This Section applies to self-drive rentals. To rent a vehicle you must:
  - Be at least 21 years of age (25+ for select high-performance or exotic
    vehicles, as noted at booking);
  - Hold a valid, unexpired U.S. driver's license appropriate to the vehicle;
  - Provide proof of personal automobile insurance with full coverage
    (comprehensive and collision) meeting at least Texas minimum requirements
    and, where we specify, limits sufficient for a high-value vehicle; and
  - Complete our identity and license verification (Section 2).

We may decline or cancel any booking, or refuse to release a vehicle, for a
lawful, good-faith reason, including failed verification, suspected fraud, or a
safety concern. If we decline you, we refund what you paid for that booking,
including the date-lock fee (Section 4).


2. IDENTITY, LICENSE, AND BIOMETRIC VERIFICATION

Because we rent and entrust high-value vehicles, we verify who you are. Using
our verification provider (Stripe Identity), we collect and check your
government-issued driver's license or photo ID and a self-photo ("selfie"),
and may compare your selfie to your ID using facial-geometry (biometric)
technology solely to confirm the match.

  - Consent. Where the law requires your consent to capture or use biometric
    information (including the Texas Capture or Use of Biometric Identifier
    Act), we obtain your affirmative consent, as a separate step, before
    verification. We do not use this data to build any facial-recognition
    database, we do not sell, lease, or trade it, and we destroy it within a
    reasonable time and no later than one year after the purpose for
    collecting it ends.
  - Driving records. If we obtain your driving record from a state motor
    vehicle department or authorized record provider, we use it only for
    purposes permitted by the federal Driver's Privacy Protection Act.
  - Not solely automated. Verification and eligibility decisions are not made
    solely by automated means; our staff review results and may override them.

How we collect, use, and retain this data is described in our Privacy Policy.


3. RESERVATIONS, QUOTES, AND CONFIRMATION

Submitting a reservation request, quote inquiry, or contact form does NOT
guarantee availability or confirm a booking. A reservation is confirmed only
when (a) Prestige Black accepts it and (b) any required payment, deposit, or
date-lock fee has been successfully processed. Prices, availability, vehicle
details, and promotional rates are provided in good faith and may change or
contain errors; a promotional rate may carry additional restrictions. We may
correct pricing or availability errors before a booking is confirmed. To
reschedule or modify a confirmed booking, contact us; changes are subject to
availability and to the Cancellation & Refund Policy.


4. FEES, PAYMENTS, AND DATE-LOCK FEE

  - Payment. Bookings require full payment or an approved deposit or date-lock
    fee at the time of booking. Accepted methods include major credit/debit
    cards and approved digital payment platforms, processed by our payment
    processor (Stripe). You authorize us to charge the payment method on file
    for amounts you owe under these Terms and your Rental or Chauffeur
    Agreement, including fees, tolls, citations, and damage, subject to the
    notice terms in Sections 7, 9, and 10.
  - Date-Lock Fee. A $100 date-lock fee is an earned reservation (option) fee
    that reserves a specific vehicle and date and, if your booking proceeds,
    is applied toward your total. It is fully earned when paid and is
    NON-REFUNDABLE if YOU cancel, reschedule, change your mind, or fail to
    appear (no-show). We WILL refund the date-lock
    fee if (a) Prestige Black declines, cancels, cannot verify you for any
    reason not caused by your fraud or willful misconduct, or cannot provide a
    comparable vehicle you accept, or (b) a refund is required by law. It is
    not a deposit or a measure of our damages. Full terms are in our
    Cancellation & Refund Policy.
  - Taxes and processing. Prices may be subject to applicable taxes and card
    processing fees, disclosed before you pay.


5. SECURITY DEPOSITS AND CARD HOLDS

A refundable security deposit or a hold (pre-authorization) on your payment
card may be required, separate from the date-lock fee and the rental charge.
The hold amount is disclosed before or at pickup. A hold is a temporary
authorization, not a charge; we may capture (convert to an actual charge) up
to the hold amount for amounts you owe, and we may separately charge
documented amounts that exceed the hold (for example, damage or tolls
discovered later), with notice as described in Sections 9 and 10. An expired or
declined authorization may need to be re-authorized before pickup. Any unused
hold is released after the vehicle is returned and inspected; release timing
depends on your bank and may take 5-10 business days.


6. VEHICLE USE RESTRICTIONS (SELF-DRIVE)

For self-drive rentals, you agree, and will ensure every authorized driver
agrees, NOT to:
  - Smoke, vape, or use any tobacco or cannabis product in the vehicle;
  - Allow any person who is not an approved, verified authorized driver
    (Section 14) to operate the vehicle;
  - Use the vehicle for racing, speed contests, track or competition use,
    towing, pushing, off-road driving, or driving on unpaved or flooded roads;
  - Transport more passengers or cargo than the vehicle is rated for, or carry
    hazardous materials;
  - Drive under the influence of alcohol, drugs, or any impairing substance;
  - Use the vehicle for any illegal purpose, to commit a crime, or in any
    ride-share, delivery, or commercial-for-hire service without our written
    consent;
  - Take the vehicle outside any geographic area stated in your Rental
    Agreement, or across the U.S. border, without our written consent;
  - Sublease, rent, or transfer the vehicle to anyone; or
  - Tamper with, disable, or remove any GPS, telematics, camera, or safety
    device.

A violation is a material breach and may result in immediate termination of
the rental without refund, recovery of the vehicle, and liability for
resulting losses. Certain violations (for example, smoking, off-road use, or
prohibited commercial use) carry the specific fees in your Rental Agreement and
our Fee Schedule (Section 9).


7. GPS, TELEMATICS, AND LOCATION TRACKING

Our vehicles and apps use GPS and telematics that collect precise, real-time
and historical location and operating data, and the vehicle and trip may be
tracked continuously during your rental or ride. We use this to dispatch and
navigate, support safety and emergency response, recover a vehicle that is
stolen, not returned, or taken outside an authorized area, calculate mileage
and charges, and investigate incidents and disputes. Any charge we base on
location or telematics data (for example, an out-of-area or recovery charge) is
a reasonable estimate of our actual cost or loss, is itemized, and is disclosed
to you with an opportunity to dispute it before we capture it, except where
immediate action is needed to recover a vehicle. By renting or riding, you
acknowledge and consent to this tracking as an integral part of the service.
We handle location data as described in our Privacy Policy and do not sell it.


8. MILEAGE, FUEL, AND VEHICLE CARE

Daily mileage limits apply unless you purchase unlimited mileage. Excess
mileage is billed at the per-mile overage rate disclosed at booking. You must
return the vehicle with the same fuel level as provided; otherwise a fuel
charge plus a refueling service fee applies. You must return the vehicle in
clean condition; excessive cleaning, smoke-odor removal, and detailing fees
apply when needed. You are responsible for routine care (checking fluids and
tire pressure on longer rentals) and for promptly reporting any warning light
or mechanical concern.


9. TOLLS, CITATIONS, ADMINISTRATIVE FEES, AND FEE SCHEDULE

You are responsible for all tolls, parking and traffic citations, red-light
and speed-camera violations, and similar charges incurred during your rental or
ride. We and our toll/citation processors may receive and process the related
records and pass those charges on to you, plus a reasonable administrative fee.
Our Fee Schedule, published on our website and incorporated into these Terms by
reference, lists the fees referenced in these Terms (including late-return,
smoking, cleaning, fuel, toll/citation administrative, curb/wheel, key/fob,
and recovery fees). Administrative and damage-related fees are good-faith
estimates of our actual cost or loss, are itemized, and are disclosed to you
before we charge them, except tolls/citations we pass through at cost plus the
disclosed administrative fee. We may share plate, license, and rental
information with toll and citation authorities and law enforcement as required.


10. DAMAGE, LOSS, AND RESPONSIBILITY (SELF-DRIVE)

For self-drive rentals, you are responsible for any damage, theft, vandalism,
or total loss of the vehicle during the rental period, regardless of fault,
including mechanical damage caused by misuse, neglect, or a prohibited use
under Section 6. This includes, without limitation, curb rash and wheel damage,
tire and TPMS damage, windshield and glass, convertible/soft-top and interior
damage, paint-protection film, undercarriage and ground-clearance damage, and
lost or damaged keys or key fobs. You are responsible for the reasonable cost
of repair or replacement, plus, where applicable, diminished value, towing and
storage, a claims administrative fee, and loss-of-use for the period the
vehicle is out of service. Damage charges are good-faith estimates of our
actual cost or loss, are itemized against the pickup/return photo record, and
are disclosed to you before we charge them. You must not authorize or perform
any repair without our written consent.


11. INSURANCE (SELF-DRIVE)

For self-drive rentals, your personal automobile insurance is the primary
coverage for the vehicle and your use of it, and any coverage a third party may
make available is secondary. Prestige Black is not an insurer and does not
provide you with insurance coverage, and we do not sell a collision-damage
waiver, loss-damage waiver, or any insurance product; you remain fully
responsible for the vehicle as described in Section 10. You are responsible for
any deductible and for any loss not covered by insurance. You authorize us to
provide your insurer and ours with information needed to process a claim. (This
Section does not apply to chauffeur trips, which are covered by Section 15.)


12. LATE RETURN, NON-RETURN, AND VEHICLE RECOVERY

You must return the vehicle at the time and place stated in your Rental
Agreement. After a short grace period stated in your Agreement or the Fee
Schedule, a late return is billed at the per-hour and per-day late rate in the
Fee Schedule. A vehicle that is not returned within the hours stated in your
Agreement after the due time, and not extended by us in writing, is deemed
unauthorized and may be treated as abandoned or stolen; we may locate, disable,
and recover it and report it to law enforcement, and you are responsible for
reasonable recovery, towing, and storage costs.


13. ACCIDENTS, BREAKDOWNS, AND ROADSIDE ASSISTANCE

You must report any accident, theft, or significant mechanical issue
immediately to local law enforcement (where applicable) and to Prestige Black
at (214) 207-2481, and cooperate with any investigation and claim. Do not admit
fault or authorize repairs. Roadside assistance may be available depending on
the vehicle and circumstances; charges may apply for service caused by your
misuse (for example, lockouts, fuel-outs, or tire damage).


14. AUTHORIZED AND ADDITIONAL DRIVERS

Only the primary renter and additional drivers we have approved and verified
(Section 2) may operate a self-drive vehicle. Each additional driver must meet
the same eligibility requirements. You are jointly and severally liable with
every authorized driver for all charges, damage, tolls, citations, and losses
arising from their use of the vehicle. Permitting any unauthorized person to
drive is a material breach that may void any coverage, terminate the rental
without refund, and incur the fee in the Fee Schedule.


15. CHAUFFEUR AND BLACK-CAR SERVICES

This Section governs chauffeur/black-car trips, where Prestige Black supplies a
licensed driver and the customer and guests ride as passengers. The self-drive
eligibility, insurance-primary, damage-regardless-of-fault, and
assumption-of-risk terms (Sections 1, 6, 10, 11, and 19) do NOT apply to
chauffeur trips.

  - Our role. We provide the driver and maintain the commercial insurance for
    our chauffeur operations. We owe our passengers the duty of care required
    of a for-hire passenger carrier under Texas law.
  - Arrival times are estimates. We are not responsible for delays or for any
    missed flight, connection, event, or reservation caused by traffic,
    weather, road or mechanical conditions, or other factors beyond our
    reasonable control.
  - Charges. In addition to the trip rate, you authorize wait-time, gratuity,
    multi-stop and point-to-point, extra-mileage, and cleanup charges as
    disclosed at booking and in the Fee Schedule.
  - Passenger conduct and safety. Passengers must comply with all seat-belt
    and child-restraint laws (you are responsible for providing and installing
    any required child seat), may not exceed the vehicle's rated capacity, and
    may not smoke or vape or use unlawful drugs in the vehicle. Adult
    passengers may consume alcohol only where lawful for a for-hire vehicle;
    underage or unlawful consumption is prohibited.
  - Driver discretion. The driver may choose a safe and reasonable route and
    may refuse or end service, without refund, for any passenger who is
    unlawfully intoxicated, unsafe, abusive, or in violation of these Terms.
  - Cleanup. A cleanup/soiling fee in the Fee Schedule applies to spills,
    sickness, or excessive mess caused by a passenger.
  - Lost and found. We will make reasonable efforts to return items left in a
    vehicle, may hold them for a limited time, and may ship them at your cost.
    We are not responsible for the value of items left behind.


16. LUXURY EVENT SERVICES

This Section governs luxury event bookings (for example, photoshoots, music
videos, and date-night or special-occasion packages), which may or may not
include driving.

  - Permitted use. The vehicle is provided for the agreed event use only. Any
    staging, filming, or use of the vehicle as a prop or backdrop must follow
    our instructions and any limits in your booking (for example, whether
    people may sit in or on the vehicle or whether the engine may run).
  - Media and likeness release. If we or our representatives are present or
    capture images, you grant Prestige Black permission to photograph and film
    the vehicle and the event and to use those images for our marketing, and
    you are responsible for obtaining any releases needed from your own guests,
    crew, and talent. We do not claim rights in your own creative work beyond
    footage that features our vehicle or brand.
  - Damage and safety. You are responsible for damage to the vehicle during
    the event, including non-driving damage caused by you, your guests, crew,
    or equipment. You are responsible for securing any location, permit, crowd
    control, and event insurance, and for the safety of your guests and crew.
  - Cancellation and weather. Event cancellation, rescheduling, and
    weather-related terms are as stated at booking and in our Cancellation &
    Refund Policy.


17. CANCELLATIONS AND REFUNDS

You may cancel or reschedule a confirmed booking up to 48 hours before the
booking's original scheduled start date and time. Within 48 hours of that
original start date and time, cancellations and reschedules are not accepted
and no refund is issued, and the $100 date-lock fee and any prepaid amounts are
forfeited; the same applies if you fail to appear (no-show).

The $100 date-lock fee is non-refundable for any cancellation, reschedule,
change of mind, or no-show by you, and is refundable only as provided in
Section 4 (for example, if we decline you, cannot verify you absent your fraud
or willful misconduct, or cannot provide the vehicle) or where required by law.
Amounts you prepaid beyond the date-lock fee are refundable if you cancel 48
hours or more before the original start date and time.

The security-deposit hold and related charges, and these cancellation and
refund terms, are further described in our Cancellation & Refund Policy, which
is incorporated into these Terms by reference and is consistent with this
Section.


18. VEHICLE AVAILABILITY AND SUBSTITUTION

If a reserved vehicle becomes unavailable due to mechanical issues, damage from
a prior renter, or other circumstances, we may (a) provide a comparable or
upgraded replacement, or (b) if no acceptable replacement is available, cancel
the affected booking and refund amounts paid for it, including the date-lock
fee. This is your sole and exclusive contract remedy for unavailability, and
nothing in this Section limits any right you have under the Texas Deceptive
Trade Practices-Consumer Protection Act (Section 31).


19. ASSUMPTION OF RISK; DISCLAIMER OF WARRANTIES

For self-drive rentals only, you acknowledge that operating high-performance
and exotic vehicles carries inherent risks, and you are responsible for
operating the vehicle safely and lawfully. This is an acknowledgment of
inherent risk; it is NOT a release of Prestige Black's own negligence and does
NOT apply to any claim for death or personal injury (see Section 20). It does
not apply to chauffeur trips (Section 15).

Our website, apps, and digital services are provided "AS IS" and "AS
AVAILABLE," and to the fullest extent permitted by law we disclaim all
warranties for those digital services, including implied warranties of
merchantability, fitness for a particular purpose, and non-infringement, and we
do not warrant that they will be uninterrupted, error-free, or completely
secure. Nothing in this Section disclaims a warranty that cannot be disclaimed
under Texas law.


20. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW:
  (a) Prestige Black is not responsible for indirect, incidental, special,
      consequential, exemplary, or punitive damages, or for lost profits,
      data, or goodwill, arising out of or relating to your use of our
      website, apps, or digital services, even if advised of the possibility
      of such damages; and
  (b) our total aggregate liability arising out of or relating to the website,
      apps, and digital services will not exceed the greater of the amount you
      paid us for the specific booking giving rise to the claim or one hundred
      U.S. dollars ($100).

Nothing in this Section limits or excludes liability that cannot be limited
under applicable law, including liability for death or personal injury caused
by our own negligence, for gross negligence, or for fraud or willful
misconduct, and nothing in this Section limits any remedy or damages available
to you under the Texas Deceptive Trade Practices-Consumer Protection Act
(Section 31). This Section governs our digital services; it does not modify the
separate signed Rental or Chauffeur Agreement, which governs vehicle-related
liability under its own terms, and it does not cap a chauffeur passenger's
claim for bodily injury.


21. INDEMNIFICATION

To the fullest extent permitted by law, you agree to indemnify, defend, and
hold harmless Prestige Black and its owners, members, officers, employees, and
agents from and against any third-party claims, damages, losses, liabilities,
fines, and reasonable expenses (including attorneys' fees) to the extent
arising out of or relating to your own use of our services or vehicles, your
breach of these Terms or any law, or your negligence or misconduct or that of
any driver or guest you authorize. This indemnity does NOT apply to, and you do
not indemnify us for, our own negligence, gross negligence, fraud, or willful
misconduct.


22. CHARGEBACKS AND FRAUD PREVENTION

If you have a billing concern, please contact us first at (214) 207-2481 so we
can resolve it. If you initiate an unauthorized or bad-faith chargeback (for
example, disputing a charge for services actually provided, damage owed, or a
fee you agreed to), we may suspend rental privileges, submit documentation to
your card issuer to contest the dispute, and recover the amounts actually owed,
plus reasonable administrative costs and, where we prevail, our reasonable
costs of collection. Nothing here limits any legitimate billing-dispute right
you have under law or your card issuer's process, and we will not seek costs
merely because a good-faith dispute is unsuccessful.


23. INTELLECTUAL PROPERTY

All website and app content, logos, branding, images, vehicle photography, and
text are the property of Prestige Black or its licensors and are protected by
law. You may not copy, use, or exploit them without our prior written
permission. "Prestige Black," "Obsidian by Prestige Black," and related marks
are our trademarks.


24. WEBSITE AND APP USE; THIRD-PARTY SERVICES

You agree not to misuse our website or apps, submit fraudulent or automated
booking requests, interfere with their operation or security, attempt
unauthorized access, or use them for any unlawful purpose. We use trusted
third-party platforms for payment processing, identity verification, hosting,
messaging, mapping, and reservation management (including Stripe, Twilio,
Cloudflare, Google, Shopify, and others listed in our Privacy Policy); your use
of features powered by them is also subject to their terms.


25. COMMUNICATIONS, SMS, AND AUTOMATED MESSAGES

We operate two separate messaging programs:
  - Service/transactional messages. By providing your phone number and email
    for a booking, you agree that we may send you messages about that booking
    - confirmations, availability responses, payment and deposit links,
    verification, and reservation, balance-due, and pickup/return reminders -
    by SMS, email, or phone, including via automated systems. These are needed
    to provide the service you requested.
  - Marketing messages. We send promotional texts only if you separately opt
    in through a distinct consent. By opting in, you consent to receive
    recurring automated (including autodialed) marketing texts, and that
    consent is NOT a condition of renting or purchasing anything from us.

Message frequency varies. Message and data rates may apply. Replying STOP to a
marketing text opts you out of marketing texts to that number, which we honor
within 10 business days; you may also reply HELP for help. Transactional
messages tied to an active booking are a separate program; to stop those,
contact us at (214) 207-2481. You may opt out of marketing email using the
unsubscribe link in any such email. Our marketing emails include our physical
address and honest sender and subject lines. Carriers are not liable for
delayed or undelivered messages.


26. ELECTRONIC COMMUNICATIONS AND E-SIGN CONSENT

You consent to receive agreements, receipts, notices, and disclosures from us
electronically, and you agree that electronic records and signatures satisfy
any legal requirement that such records be in writing, under the federal E-SIGN
Act. You have the right to receive a paper copy of any legally required record
by requesting it at prestigeblackcorp@gmail.com, and to withdraw your consent to
electronic records for future communications by contacting us (which may prevent
us from providing certain online services). To access and retain electronic
records you need a device with internet access, a current web browser, and the
ability to view PDF and email. Keep your email and phone number current with us.


27. AGE REQUIREMENT; CHILDREN

Our website and apps are intended for adults. You must be at least 18 (or the
age of majority where you live) to use them or to agree to these Terms. Our
services are not directed to children under 13, and we do not knowingly collect
personal information from them; if we learn we have, we will delete it. (Renting
a vehicle has a higher minimum age - see Section 1.)


28. ACCESSIBILITY

We are committed to making our website and apps accessible and make reasonable
efforts consistent with recognized standards (WCAG 2.1 AA). If you have trouble
accessing any part of our services, contact us at prestigeblackcorp@gmail.com or
(214) 207-2481 and we will work with you to provide the information or
transaction you need.


29. DISPUTE RESOLUTION - BINDING INDIVIDUAL ARBITRATION; CLASS-ACTION AND
    JURY-TRIAL WAIVER

PLEASE READ THIS SECTION CAREFULLY - IT AFFECTS YOUR LEGAL RIGHTS.

29.1 Informal Resolution First. Before starting arbitration, you and Prestige
Black agree to try to resolve any dispute informally: the complaining party
sends a written Notice of Dispute (describing the claim and the relief sought)
to the other, and the parties negotiate in good faith for 30 days. You send
your Notice to the email in Section 33; we send ours to the address on your
account.

29.2 Agreement to Arbitrate. If the dispute is not resolved, you and Prestige
Black agree that any dispute, claim, or controversy arising out of or relating
to these Terms, our services, website, or apps, any communications you receive
from us, your booking or use of any vehicle or service, or the collection or
use of your information (a "Dispute") will be resolved by FINAL AND BINDING
INDIVIDUAL ARBITRATION, and not in court, except as stated in Section 29.6.
This agreement is governed by the Federal Arbitration Act (9 U.S.C. Section 1
et seq.).

29.3 Delegation. The arbitrator, not a court, decides all issues about the
interpretation, applicability, enforceability, scope, or formation of this
arbitration agreement, including any claim that it is void. This provision is
severable.

29.4 CLASS-ACTION WAIVER. YOU AND PRESTIGE BLACK MAY BRING CLAIMS ONLY IN AN
INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS,
COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not
consolidate more than one person's claims or preside over a class proceeding.
If this waiver is unenforceable as to a particular claim, that claim (and only
that claim) proceeds in court and the rest is arbitrated.

29.5 JURY-TRIAL WAIVER. To the extent any Dispute proceeds in court, you and
Prestige Black each knowingly and voluntarily waive any right to a trial by
jury.

29.6 Exceptions. This Section does not require arbitration of, and does not
waive your right to bring in court or on a class basis: (a) a qualifying
individual small-claims action that stays in small-claims court; (b) a request
for temporary or preliminary injunctive relief; or (c) any claim of sexual
assault or sexual harassment, to the extent the federal Ending Forced
Arbitration of Sexual Assault and Sexual Harassment Act (9 U.S.C. Sections
401-402) makes a pre-dispute arbitration agreement or joint-action waiver
unenforceable at your election.

29.7 Procedure; Mass Filings. Arbitration is administered by the American
Arbitration Association (AAA) under its Consumer Arbitration Rules and, where
applicable, its Mass Arbitration Supplementary Rules, held in Dallas County,
Texas or, at your election, by phone, video, or written submission, before one
arbitrator. If 25 or more similar Disputes are filed by or with the coordination
of the same or coordinated counsel, the parties will use the AAA Mass
Arbitration Supplementary Rules and may proceed in staged batches of bellwether
cases whose results guide resolution of the remainder. We pay the filing,
administration, and arbitrator fees to the extent the applicable AAA rules
require.

29.8 30-DAY OPT-OUT. You may opt out of this Section 29 (except the jury-trial
waiver) within 30 days after first accepting these Terms by emailing
prestigeblackcorp@gmail.com with your name and the email and phone on your
account and a clear statement that you opt out of arbitration. Opting out does
not affect the rest of these Terms.

29.9 Survival. This Section survives termination of these Terms.


30. GOVERNING LAW; VENUE; TIME TO BRING CLAIMS

These Terms are governed by the laws of the State of Texas, without regard to
conflict-of-law principles. Subject to Section 29, you consent to personal
jurisdiction in Texas and agree that, to the extent permitted by law, the state
and federal courts located in Dallas County, Texas are a proper venue for any
permitted court action. To the fullest extent permitted by law, any claim
arising out of or relating to these Terms or the digital services must be
brought within TWO (2) YEARS AND ONE DAY after it accrues, or within the
minimum period required by applicable law if longer, or it is permanently
barred; this does not shorten any period that cannot be shortened by agreement.


31. TEXAS CONSUMER RIGHTS

We describe our practices truthfully and honor them. Nothing in these Terms
waives, and these Terms are not intended to waive, any right you may have under
the Texas Deceptive Trade Practices-Consumer Protection Act or other law that
cannot be waived, and nothing in Sections 18, 19, or 20 limits any remedy or
damages available to you under that Act. This Section controls over any
conflicting limitation in these Terms.


32. GENERAL PROVISIONS

  - Force Majeure. We are not liable for any delay or failure to perform caused
    by events beyond our reasonable control (including weather, disaster,
    accident, mechanical failure, supply issues, labor actions, or government
    action).
  - Severability. If any provision is unenforceable, the rest remains in
    effect, and the unenforceable provision is limited to the minimum extent
    necessary.
  - Entire Agreement. These Terms, the Privacy Policy, the Cancellation &
    Refund Policy, the Fee Schedule, and your signed Rental or Chauffeur
    Agreement are the entire agreement between us regarding the subject matter
    and supersede prior understandings.
  - No Waiver. Our failure to enforce a provision is not a waiver of it.
  - Assignment. You may not assign these Terms; we may assign them to an
    affiliate or successor.
  - Electronic Acceptance. You agree that clicking to accept or checking a box
    to agree to these Terms is your electronic signature and consent under the
    federal E-SIGN Act, with the same effect as a handwritten signature.
  - Changes to These Terms. We may update these Terms and will update the "Last
    Updated" date. Changes apply prospectively only and do not apply to any
    dispute that has already arisen. We will give reasonable advance notice of
    material changes, and no change to Section 29 (arbitration) applies to a
    claim that accrued before the change or takes effect for you until you
    affirmatively agree to it. Your continued use of our services after a
    non-material change takes effect constitutes acceptance of that change.
